References on the Site to nationwide coverage, offices in other cities, or work performed outside Ontario describe these cooperative arrangements and do not imply that the Firm itself is licensed to practise in any jurisdiction other than Ontario. The Firm assumes no liability for the acts, omissions, advice, conduct, or work product of any partner, affiliate, referral counsel, or networked provider.

The Site and all content, materials, names, biographies, images, results, testimonials, and information made available through it are provided on an “AS IS” and “AS AVAILABLE” basis, without warranty of any kind, whether express, implied, statutory, or otherwise. Nothing on the Site is intended to create, and nothing shall be construed as creating, any right, claim, cause of action, or basis for complaint against the Firm, its licensees, or any of its personnel before the Law Society of Ontario, the Law Society of any other province or territory of Canada, the Federation of Law Societies of Canada, any tribunal, regulator, professional body, ombudsman, or court, in respect of the content of the Site. The content of the Site is not marketing of legal services tailored to any specific person or matter and is not intended to influence a person's decision to retain counsel for a particular legal matter. The Firm respects your privacy. Information you voluntarily provide to us through the Site (for example, name, email address, telephone number, and the contents of any message) is collected and used solely to respond to your inquiry, to determine whether we may be able to assist, and for related conflict-checking and record-keeping purposes. We do not sell, rent, or trade personal information to third parties.

You agree to indemnify, defend, and hold harmless the Firm and its partners, lawyers, paralegals, employees, contractors, agents, affiliates, networked counsel, and referral partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising out of or related to your use of the Site, your breach of these terms, or your violation of any law or the rights of any third party.

These terms, the Site, and any matter arising out of or in connection with your use of the Site shall be governed by and construed exclusively in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You irrevocably and unconditionally attorn and submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto, in respect of any claim, action, suit, proceeding, or dispute arising out of or related to the Site or these terms.

No claim, action, suit, or proceeding of any kind may be brought against the Firm in any jurisdiction other than the Province of Ontario, Canada, and any such claim brought elsewhere shall be dismissed on grounds of forum and choice of law. You waive any objection based on forum non conveniens, improper venue, or lack of personal jurisdiction. Any claim must be commenced within one (1) year after the cause of action arises, failing which it shall be permanently barred.

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced with an enforceable provision that most closely reflects the original intent. These terms constitute the entire agreement between you and the Firm with respect to your use of the Site, and supersede all prior understandings or agreements.
